Important — Please Read Before Purchasing

Enter Spain provides practical relocation assistance and administrative guidance. We are not a law firm, legal adviser, immigration lawyer, tax consultant, or certified relocation professional. Our services consist of practical, procedural assistance with Spanish administrative processes. For complex legal, immigration, or tax matters, consult a qualified registered professional.

A. Preliminary Provisions

A.1 Scope and Acceptance

These Terms and Conditions ("Terms") govern the contractual relationship between [PLACEHOLDER — full legal entity name] (trading as "Enter Spain," "we," "us," or "our") and any individual who creates an account, purchases a service, or uses the platform at https://enterspain.io ("you" or "client").

By creating an account and/or purchasing a service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy.

A.2 Consumer Rights — Mandatory Protections

These Terms are intended for individuals acting in a personal capacity (consumers). Mandatory rights under Royal Legislative Decree 1/2007 of 16 November (LGDCU), as amended, and Directive 2011/83/EU on Consumer Rights apply in full and are not excluded or limited by these Terms. Any clause in these Terms that would have the effect of excluding or limiting a mandatory consumer right shall be void to the extent of that conflict. The remainder of these Terms shall continue in force.

A.3 Legal Capacity

You confirm that you are at least 18 years of age and have legal capacity to enter into binding contracts under the law of your country of habitual residence.

B. Description of Services

Enter Spain offers the following distinct service categories. Each has its own scope, deliverables, and withdrawal right treatment. Please read the description for the specific service you are purchasing.

B.1 Platform Access Subscription

Access to Enter Spain's digital content library: guides, templates, checklists, video resources, and the client dashboard.

What is included: Access to the specified content library for the subscription period stated at checkout.
What is NOT included: Individual case support, appointment booking, or any personalized administrative service. Platform Access does not create any obligation on Enter Spain to secure any appointment or administrative outcome.
Completion trigger: The service is delivered when access is granted and functioning.

B.2 Document Preparation Service

Preparation of an application document pack based on the information and documents you provide.

What is included: Review of submitted documents; preparation of the specified application form or document pack; delivery of the completed pack to your client account or registered email.
What is NOT included: Submission of the application to any authority; any guarantee of acceptance by any authority; appointment booking (unless also purchased).
Completion trigger: Delivery of the prepared document pack. Once delivered, the Document Preparation Service is complete. If revision is required because you submitted incorrect or incomplete information, further work is subject to additional charge.

B.3 Appointment Booking Assistance Window

A fixed-scope, effort-based service. Enter Spain will apply reasonable professional effort to monitor the availability of appointment slots with the relevant Spanish authority and offer available slots to you during the agreed Booking Window.

Important — Please read before purchasing this service

This service is defined by effort, not outcome. Appointment slot availability is controlled exclusively by Spanish public authorities and is unpredictable and often scarce. By purchasing this service, you acknowledge and accept that Enter Spain cannot guarantee that an appointment slot will be available within your Booking Window. The fee is earned by the monitoring effort, not by the outcome of that effort.

What is included: Active monitoring of the specified authority portal for available appointment slots during the Booking Window; notification to you of each available slot identified ("Slot Offer"); booking submission once you confirm a Slot Offer; up to [PLACEHOLDER — number] Slot Offers during the Booking Window.
What is NOT included: Any guarantee of appointment availability; attendance at the appointment on your behalf; document preparation (unless also purchased); responsibility for the authority's processing of your application.
Booking Window: Begins on the date we confirm receipt of all required documents and information, and runs for [PLACEHOLDER — duration, e.g. 8 weeks] ("Booking Window End Date").
Slot Offer response: When a slot is identified and offered to you, you must confirm or decline within 72 hours of notification. If you do not respond within this period, the Slot Offer lapses and counts as one of your allocated Slot Offers. We understand that genuine exceptional circumstances may prevent a timely response — if this applies, contact us within 5 business days and we will consider the position on its facts, without guarantee of a remedy.
Completion: The Booking Window service is complete upon the earlier of: (i) a confirmed booking secured and accepted by you; (ii) all allocated Slot Offers having been made; (iii) expiry of the Booking Window End Date; or (iv) termination under these Terms.

B.4 Advisory and Case Support

Individual professional attention to your case, including procedural guidance and communications assistance. Scope as agreed at point of purchase. Enter Spain does not provide legal representation or legal advice within the meaning of regulated legal services.

B.5 Partner Referral Services

At your request, Enter Spain may facilitate introductions to third-party partner providers (banking, insurance, tax, housing, and similar). See Section H for full terms.

C. Your Right of Withdrawal

C.1 General Right

As a consumer purchasing services online, you have the right to withdraw from the contract without giving any reason within 14 calendar days of the date the contract was concluded, in accordance with Article 102 of RDL 1/2007 and Directive 2011/83/EU.

To exercise this right, notify us by clear statement (including by email to legal@enterspain.io or by using the standard withdrawal form at the end of these Terms) before the 14-day period expires. We will reimburse payments received from you within 14 calendar days of receiving your withdrawal notice, using the same payment method you used.

C.2 Early Commencement — Express Request

If you wish service performance to begin within the 14-day withdrawal period, you must make an express request at checkout by ticking the dedicated confirmation checkbox. We will not begin substantive personalised work during the withdrawal period without this request.

Where you make a valid early commencement request:

  • Platform Access / digital content: By confirming immediate access, you acknowledge that the withdrawal right is lost at the moment content is first accessed, as required by Article 103(m) RDL 1/2007. You must confirm this understanding before accessing content.
  • Document Preparation or Booking Window services: If you withdraw after requesting early commencement, you are entitled to a proportionate refund for the portion of the service not yet performed at the time of withdrawal (see C.3).

C.3 Proportionate Refund After Early Commencement

If you withdraw during the 14-day period following a valid early commencement request, your refund is calculated as follows:

  • Document Preparation Service: Proportion of the document pack not yet prepared at time of withdrawal, calculated against an internal checklist. A written breakdown is provided on request.
  • Booking Window Service: (Days remaining in Booking Window ÷ Total days in Booking Window) × total price paid for that service. We will provide a written calculation on request.

Example: If you purchase an 8-week Booking Window, request early commencement, and withdraw after 2 weeks, you are entitled to a refund of 75% of the Booking Window fee (6 weeks remaining out of 8).

D. Client Obligations and Consequences of Client Failure

D.1 Accurate Information

You are solely responsible for the accuracy, completeness, and authenticity of all information and documents you submit. You represent and warrant that all submitted personal information is true, accurate, and current; all identity documents are genuine; and you will notify Enter Spain promptly if any submitted information changes during a service.

D.2 Consequences of Inaccurate or Incomplete Information

If a service cannot be performed, is performed incorrectly, or an appointment fails by reason of inaccurate, incomplete, or false information or documents submitted by you:

  • Enter Spain is not liable for any resulting delay, failed appointment, or adverse administrative outcome;
  • No refund is due on that ground;
  • If an appointment slot is wasted as a result, that slot counts as one of your allocated Slot Offers and the Booking Window is not extended.

Enter Spain will review documents submitted by you for obvious incompleteness or inconsistency as part of the Document Preparation Service and will notify you of any issues identified before proceeding. However, we cannot verify the authenticity of identity documents and are not responsible for documents that appear complete and consistent but contain inaccuracies not ascertainable on professional review.

D.3 Document Submission Deadlines

Where Enter Spain requires documents from you to commence or continue a service, we will notify you of the requirement and set a reasonable deadline of at least 5 business days (shorter only where urgency requires, with written explanation).

If you fail to provide required documents by the deadline: the relevant service stage is paused; the Booking Window continues to run during any suspension unless Enter Spain expressly agrees in writing to pause it; if documents remain outstanding for a further 10 business days after the deadline, Enter Spain will send a written notice that the service stage may lapse due to client inactivity. No refund is due for elapsed Booking Window time during client-caused delays.

D.4 Appointment Attendance

If Enter Spain secures an appointment slot on your behalf, you are solely responsible for attending at the confirmed time and location and for bringing all required original documents as specified in the appointment confirmation and document checklist we provide. It is your responsibility to read and comply with the checklist.

D.5 No-Show and Failed Appointment

A "No-Show" occurs where you have confirmed an appointment, the slot was provided by the relevant authority, and you either fail to attend, or attend but are turned away due to missing or insufficient documents that were specified in our checklist.

Where a No-Show occurs:

  • The No-Show appointment counts as one of your allocated Slot Offers;
  • Enter Spain is not liable for any administrative consequences;
  • Rebooking is subject to Clause D.6 and is not automatic.

No refund of the Booking Window fee is due by reason of a No-Show where Enter Spain performed its booking obligations correctly up to the point of the appointment.

D.6 Rebooking After a No-Show or Client-Fault Cancellation

Following a No-Show or a late client-requested cancellation (less than 2 business days before the appointment), one optional Rebooking Add-On may be purchased at [PLACEHOLDER — price]. This provides one additional Slot Offer cycle within a new monitoring window. The Rebooking Add-On is subject to availability and is not guaranteed. Enter Spain may decline to offer it where the circumstances of the original failure suggest a repeat is likely.

D.7 Client-Requested Rescheduling

  • More than 5 business days before appointment: One rescheduling at no additional charge. The cancelled slot counts as one Slot Offer. Enter Spain will attempt to find an alternative within the remaining Booking Window.
  • Between 2 and 5 business days before appointment: Enter Spain will make reasonable efforts to reschedule but cannot guarantee availability. The cancelled slot counts as one Slot Offer.
  • Less than 2 business days before appointment: Rescheduling cannot be guaranteed; the cancelled slot counts as one Slot Offer; rebooking requires the Rebooking Add-On.

Client-requested rescheduling is limited to two occasions per service purchase. This limitation is necessary to protect the operational viability of the service. It does not apply to rescheduling necessitated by Enter Spain's own error.

E. Enter Spain's Obligations

E.1 Standard of Care

Enter Spain will deliver all services with reasonable professional skill and care. For Booking Window services, this means actively and regularly monitoring publicly available appointment booking systems and notifying you promptly of available slots. It does not mean guaranteeing that available slots will exist.

E.2 Booking Window Monitoring Obligations

Enter Spain will begin monitoring within 2 business days of the Booking Window start date; notify you of each Slot Offer promptly upon identification; maintain a record of monitoring activity; and respond to case status enquiries within 3 business days.

E.3 Consequences of Enter Spain's Failure to Perform

If Enter Spain fails to conduct the agreed monitoring, or fails to notify you of a slot it was aware of, or fails to submit a booking after you confirmed a Slot Offer:

  • The Booking Window is extended by a period equivalent to the period of Enter Spain's failure, at no additional charge;
  • If the failure results in a missed appointment that cannot be remedied, a pro-rata refund is due based on the proportion of the Booking Window during which Enter Spain failed to perform.

F. Appointment Booking — Official Channels Only

How we book your appointment

Where your service includes booking an appointment at a Spanish government office, Enter Spain books exclusively through official Spanish government platforms, including sede.policia.gob.es (NIE), sede.administracionespublicas.gob.es, and relevant regional Oficina de Extranjería systems.

Enter Spain does not purchase, obtain, broker, or facilitate appointments through any unofficial, third-party, or commercial appointment resale service. No payment is made to any third party in connection with appointment booking beyond official government fees (Modelo 790 / Tasa 012 where applicable), which are paid directly by the client.

G. Government Authority Delays and Third-Party Actions

Enter Spain expressly disclaims responsibility for any decision, delay, cancellation, rejection, or administrative determination by any Spanish public authority, including the Extranjería, the National Police, SEPE, or any other body. The availability of appointment slots, processing times, and administrative decisions are determined exclusively by the relevant authority and are outside Enter Spain's control.

This disclaimer does not affect your rights where Enter Spain has itself failed to perform the agreed service. A delay or failure caused by a government authority does not release Enter Spain from its own monitoring and notification obligations.

H. Partner Referral Services

When Enter Spain facilitates an introduction to a partner provider, Enter Spain's sole obligation is to make the introduction. The contractual relationship for any services provided by the partner is exclusively between you and that partner.

Enter Spain may receive a commercial benefit (referral fee, commission, or other arrangement) from some partner relationships. This will be disclosed clearly at the point of referral. The existence of a commercial relationship does not affect your rights in relation to the partner's services or the advice you receive from us.

Enter Spain does not guarantee, endorse, or assume responsibility for the quality, pricing, accuracy, suitability, or regulatory compliance of any partner's services. You should conduct your own due diligence before engaging any partner. Partner introductions are made to providers we believe to operate legitimately, but we cannot monitor or verify their ongoing conduct.

I. Pricing, Payment, and Refunds

I.1 Pricing and VAT

All prices are displayed in euros and are inclusive of applicable VAT at the rate shown at checkout. Government fees (such as Modelo 790 / Tasa 012) are separate, paid directly by you to the relevant authority, and are not included in our service fee.

I.2 Payment

Payments are processed securely by Stripe. We do not store your payment card details. By submitting payment, you authorise the charge shown at checkout.

I.3 Refund Framework

Refunds are governed by Section C (withdrawal rights), Section D (client fault consequences), and the following:

  • Where Enter Spain fails to deliver a service in conformity with these Terms, you are entitled to a remedy including, where appropriate, a proportionate refund;
  • Where you withdraw within the 14-day period without having made an early commencement request, you are entitled to a full refund;
  • Where you withdraw following a valid early commencement request, the proportionate refund in Section C.3 applies;
  • Where a service has been fully performed, no refund is due unless the service did not conform to its description.

I.4 Subscriptions

Subscription services renew automatically at the end of each period unless cancelled. You may cancel at any time through your account settings or by emailing legal@enterspain.io. Cancellation takes effect at the end of the current billing period; no pro-rata refund is made for the remaining period of a subscription already paid, unless we have materially failed to provide the subscribed service.

K. Limitation of Liability

K.1 Aggregate Cap

Enter Spain's total aggregate liability to you under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total amount paid by you for the specific service to which the claim relates in the 12 months preceding the event giving rise to the claim.

K.2 Excluded Categories of Loss

Subject to K.3, Enter Spain shall not be liable for: indirect or consequential loss; loss of profit, business, revenue, or goodwill; loss arising from your failure to comply with your obligations under these Terms; loss arising from decisions, actions, or omissions of Spanish public authorities or any other third party; or loss arising from inaccurate or false information provided by you.

Where Enter Spain's own failure to notify you of a confirmed appointment results in directly foreseeable out-of-pocket costs (such as non-refundable travel or accommodation booked in reliance on that appointment), liability for such costs is not excluded to the extent required by mandatory consumer law.

K.3 Mandatory Exceptions — Cannot Be Limited

Nothing in these Terms excludes or limits Enter Spain's liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; any liability that cannot lawfully be limited under Spanish or EU consumer law, including liability under Article 148 RDL 1/2007 for services that do not conform to their description; or your statutory rights as a consumer under LGDCU and Directive 2011/83/EU.

L. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorised access.

Enter Spain may suspend your account with immediate effect if: you have provided false or materially misleading information; we reasonably believe your account has been compromised; or you are in material breach of these Terms and the breach (if capable of remedy) has not been remedied within 7 business days of written notice. Suspension does not entitle Enter Spain to retain fees for services not yet delivered unless client fault applies.

M. Intellectual Property

All content, design, code, tools, and materials on the platform are owned by or licensed to Enter Spain and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

N. AI-Assisted Features

Certain features use AI-assisted tools to generate forms or provide guidance, operating under human supervision. AI-generated outputs should be reviewed before acting upon them. We do not make automated decisions with legal or significant effects without human oversight.

O. Complaints and Dispute Resolution

O.1 Internal Complaints Procedure

If you have a complaint, please email legal@enterspain.io with the subject line "Complaint." We will acknowledge within 5 business days and provide a substantive response within 30 calendar days.

O.2 External Redress

If your complaint is not resolved through our internal procedure, you may:

  • Contact your municipal consumer protection office (OMIC);
  • Use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr;
  • Seek recourse through the ordinary courts. Nothing in these Terms prevents you from pursuing your legal rights.

P. General Provisions

P.1 Governing Law

These Terms are governed by Spanish law. Nothing in this clause affects your rights under mandatory consumer protection law applicable in your country of habitual residence within the EU.

P.2 Jurisdiction

Disputes shall be subject to the jurisdiction of the courts of [PLACEHOLDER — Enter Spain's registered municipality]. As a consumer, you may also bring proceedings in the courts of your place of domicile within the EU.

P.3 Modifications

We may amend these Terms from time to time. Material changes will be communicated by email at least 30 days before taking effect. For services already purchased, pre-amendment terms govern those contracts unless you expressly agree otherwise.

P.4 Severability

If any clause is found void, unenforceable, or invalid by a competent court or authority, that clause shall be severed. The remainder of these Terms shall continue in full force and effect.

P.5 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Enter Spain in relation to your use of the platform and services.
